Minddex.ai Platform

Preamble
These General Terms of Sale (hereinafter the “GTS“) govern the commercial and financial conditions applicable to the subscription and use of Subscriptions to the Minddex.ai platform (hereinafter the “Platform“), published and operated by the company:
KORTAIX SAS, a simplified joint-stock company with a capital of €1,000, registered with the Paris RCS under number 989 787 767, whose registered office is located at 56 avenue de Suffren, 75015 Paris, France. Intra-community VAT number: FR89989787767 (hereinafter “KORTAIX” or the “Service Provider“).
The GTS supplement the General Terms of Use (GTU) available at: https://minddex.ai/en/terms-of-use-2/. The GTU define the conditions for access and use of the Platform. In the event of a contradiction between the GTU and the GTS, the GTS shall prevail regarding commercial and financial aspects.
These GTS apply to any Subscription purchased for the Platform. When a Client has entered into a contract with KORTAIX including special conditions, these complement the present GTS and prevail in case of contradiction on the aspects they cover. Any subscription implies full and unreserved acceptance of these GTS.
Article 1 – Definitions
Terms defined in the GTU retain the same meaning in these GTS. The following terms are additionally defined:

| “Client” | The natural or legal person (professional within the meaning of the Commercial Code) who subscribes to a Platform Subscription. |
| “Subscription” | The pricing plan selected by the Client, defining features, quotas, and access duration to the Platform. |
| “Billing Period” | The recurring period (monthly or annual) for which the Subscription is invoiced. |
| “Offer” | The set of pricing plans available on the Platform’s pricing page, including associated features and quotas. |
| “Trial Period” | The free period potentially offered to the Client to discover the Platform before subscribing. |
Article 2 – Scope and Client Status
These GTS are exclusively intended for professionals acting within the framework of their commercial, industrial, artisanal, liberal, or agricultural activity. The Client declares they are acting in a professional capacity and acknowledges that the Platform is not intended for consumers. Consequently, the right of withdrawal provided for in articles L. 221-18 et seq. of the Consumer Code does not apply.
Article 3 – Offers, Rates, and Quotas
3.1 Description of Offers Available Offers, features, quotas (number of brands, AI queries, update frequency, supported LLMs), and rates are described on the Platform’s pricing page: https://minddex.ai/pricing/. The Offers and rates published on the day of subscription constitute the contractual basis.
3.2 Rate Modifications KORTAIX reserves the right to modify its rates at any time. Any price change will be notified by email at least thirty (30) days before the renewal date. New rates apply automatically upon the next renewal. If the Client refuses, they may terminate the Subscription per Article 7.
3.3 Quota Overages
In the event of exceeding quotas, KORTAIX reserves the right to:
- Temporarily limit or suspend access to the concerned features until the next Billing Period;
- Offer the Client an upgrade to a higher Offer.
Article 4 – Subscription and Trial Period
4.1 Subscription Process Subscription is done online. The Client selects an Offer, creates or logs into an Account, enters billing information, and proceeds to payment. The Subscription takes effect immediately upon payment confirmation.
4.2 Trial Period KORTAIX may offer a free Trial Period. At the end of this period:
- If a payment method was provided, the Subscription is automatically activated unless terminated before the deadline.
- If no payment method was provided, access is automatically deactivated. Each Client is entitled to only one Trial Period.
Article 5 – Billing and Payment
5.1 Currency and Taxes All prices are in euros (€) and exclude taxes (HT). Applicable VAT is added at the rate in effect on the billing day.
5.2 Payment Methods Payment is made by credit card (Visa, Mastercard), bank transfer, SEPA debit, or any other means provided on the Platform. KORTAIX uses a PCI-DSS certified provider and never has access to the Client’s full card details.
5.3 Recurring Billing Subscriptions are billed in advance at the start of each Billing Period. For non-automated means (bank transfer), payment is due within thirty (30) days of the invoice date.
5.4 Payment Default In case of failure, KORTAIX will send an email notification requesting regularization within seven (7) days. Failure to comply may result in suspension or termination of the Subscription.
5.5 Late Payment Penalties
Late payments trigger:
- Penalties at the ECB rate plus 10 percentage points;
- A fixed recovery fee of forty (40) euros.
Article 6 – Change of Offer
6.1 Upgrade The Client may upgrade at any time. The change is immediate, and the amount already paid is deducted pro-rata from the new rate.
6.2 Downgrade Downgrades take effect at the end of the current Billing Period. No refund is provided for the remaining period.
Article 7 – Duration, Renewal, and Termination
7.1 Duration and Renewal The Subscription is concluded for the chosen Billing Period (monthly or annual) and renews automatically unless terminated.
7.2 Termination by the Client After the Trial Period, the Client may terminate via their account settings. Termination takes effect at the end of the current Billing Period. No pro-rata refund will be issued.
7.3 Termination by KORTAIX KORTAIX may terminate per Article 10.3 of the GTU (violation, abuse, non-payment).
Article 8 – Refund
Subscriptions are non-refundable, except in the event of termination following a substantial modification of the GTU or GTS, where a pro-rata refund will be issued.
Article 9 – Obligations of the Client
The Client agrees to provide accurate billing info, maintain a valid payment method, and respect usage restrictions defined in Article 4 of the GTU.
Article 10 – Liability and Warranties
Liability limitations follow Article 9 of the GTU. The Platform is provided “as is,” without a guarantee of results regarding brand visibility. Availability and service levels are governed by Article 8 of the GTU.
Article 11 – Absence of Right of Withdrawal
As the services are intended for professionals, the consumer right of withdrawal does not apply.
Article 12 – Personal Data
Billing data is processed for contract execution and legal obligations, and kept for ten (10) years. Payment data is handled exclusively by third-party providers.
Article 13 – Modification of GTS
KORTAIX may modify these GTS with 30 days’ notice. The GTS in effect on the day of subscription or renewal apply.
Article 14 – Applicable Law and Disputes
These GTS are governed by French law. Amicable resolution is sought before the jurisdiction of Paris courts. The CISG is expressly excluded.

Pursuant to Article L. 441-6 of the Commercial Code:

By subscribing to a Subscription, the Client accepts these General Terms of Sale.
